1. Parties and Definitions

​

In these Terms and Conditions:

"ClimateEQ Ltd", "we", "us", or "our" refers to ClimateEQ Ltd, a company registered in

England and Wales (Company No. 14113247whose registered office is at 794 High Street,

Kingswinford, West Midlands, DY6 8BQ United Kingdom. ClimateEQ Ltd is the course

provider and the party with whom you are entering into this agreement.

​

"ISEP" refers to the Institute of Sustainability and Environmental Professionals (Company

No. 03690916), Fenland House, 15B Hostmoor Avenue, March, Cambridgeshire, PE15 0AX.

ISEP is the independent accrediting body for this Course and is a separate legal entity from

ClimateEQ Ltd. ISEP is not a party to this agreement.

"You" or "learner" refers to the individual who purchases and accesses the Course, or on

whose behalf the Course is purchased.

​

"Employer" or "Corporate Purchaser" refers to any organisation purchasing Course access

on behalf of one or more learners.

​

"Course" refers to the Technical Associate Carbon Accountant Certificate online self-study

programme developed and delivered by ClimateEQ Ltd, comprising all modules, videos,

assessments, downloadable resources, and supporting materials.

​

"Platform" refers to the online learning management system through which the Course is

delivered by ClimateEQ Ltd.

​

"Certificate" refers to the ISEP Technical Associate Carbon Accountant Certificate, awarded

by ISEP upon ClimateEQ Ltd confirming a learner has successfully met all completion and

assessment requirements.

​

"Accreditation" refers to ISEP's approval of the Course as meeting the standards of the

Technical Associate Carbon Accountant Certificate qualification framework.

​

"Content" refers to all intellectual property within the Course including but not limited to

videos, slides, scripts, AI-generated avatars, templates, checklists, case studies, and

knowledge checks, which are the property of ClimateEQ Ltd.

​

"Access Period" refers to the duration of your Course licence as specified at the time of

purchase.

​

2. Agreement to Terms.

​

By purchasing, enrolling in, or accessing the Course, you confirm that:

You are aged 18 or over;

You have the legal capacity to enter into a binding contract;

You have read and agree to these Terms and Conditions in their entirety;

Where purchasing on behalf of an employer, you have the authority to bind that

organisation to these terms;

​

The information you provide at registration is accurate and complete.

​

These Terms and Conditions, together with our Privacy Policy and any additional terms

presented at checkout, form the entire agreement between you and ClimateEQ Ltd in

relation to the Course. ISEP's accreditation of this Course does not make ISEP a party to this

agreement, and ISEP bears no contractual obligations to you as a learner under these

Terms.

​

3. Enrolment and Access.

​

3.1 Enrolment.

​

Your enrolment is confirmed when you receive a written confirmation email from

ClimateEQ Ltd following successful payment. ClimateEQ Ltd reserves the right to refuse or

cancel enrolment at its discretion, including where payment cannot be verified or where a

learner has previously breached these Terms.

​

3.2 Access Licence.

​

Upon confirmed enrolment, ClimateEQ Ltd grants you a personal, non-transferable, nonexclusive

licence to access the Course for the duration of the Access Period. This licence is

for your individual use only. The following are strictly prohibited:

Sharing your login credentials with any other person;

​

Allowing any other person to access the Course using your account;

Accessing the Course from multiple devices simultaneously unless expressly permitted;

Transferring your enrolment to another individual without ClimateEQ Ltd's prior written

consent.

​

3.3 Access Period.

​

Unless otherwise stated at the time of purchase, your Access Period is 12 months from the

date of enrolment. Access will expire automatically at the end of the Access Period

regardless of whether you have completed the Course. ClimateEQ Ltd may offer Access

Period extensions at its discretion, which may be subject to an additional fee.

​

3.4 Technical Requirements.

​

You are responsible for ensuring your device meets the minimum technical requirements

for the Course, including:

​

A modern web browser (Chrome, Firefox, Safari, or Edge - latest two versions);

A stable broadband internet connection (minimum 5 Mbps recommended);

A sound-enabled device (the Course includes narrated content throughout);

Adobe PDF reader for downloadable resources.

​

ClimateEQ Ltd is not responsible for any degraded experience resulting from your failure to

meet these requirements.

​

3.5 Platform Availability.

​

ClimateEQ Ltd will use reasonable endeavours to ensure the Platform is available at all

times. However, we do not guarantee uninterrupted access and may take the Platform

offline for maintenance or updates. Where significant unplanned downtime occurs (more

than 48 consecutive hours), ClimateEQ Ltd will credit your Access Period by an equivalent

duration.

​

3.6 Account Inactivity.

​

If you do not log in to the Platform for a period of 6 consecutive months, ClimateEQ Ltd

reserves the right to archive your account. Your progress data will be retained for the

remainder of your Access Period. No refund or extension will be provided in these

circumstances.

​

4. Fees, Payment and VAT.

​

The Course fee is as displayed on the ClimateEQ Ltd website at the time of purchase. All

prices are stated inclusive of VAT where applicable. ClimateEQ Ltd reserves the right to

change Course pricing at any time; price changes will not affect confirmed enrolments.

Payment is required in full at the time of enrolment unless a formal invoice arrangement

has been agreed in writing with ClimateEQ Ltd.

​

Promotional codes and early-bird discounts cannot be applied retrospectively and cannot

be combined with other offers unless expressly stated.

​

Where payment is made by an employer on a learner's behalf, the employer accepts

financial responsibility under these Terms.

​

ClimateEQ Ltd is not responsible for any bank charges, currency conversion fees, or thirdparty

payment processing fees incurred by the purchaser.

​

5. Cancellation, Refunds and the Right to Cancel.

​

5.1 Your Statutory Right to Cancel (UK Consumer Contracts Regulations 2013).

​

If you are a consumer purchasing for personal use (not in the course of business), you have

the right to cancel your purchase within 14 days of enrolment without giving any reason,

subject to the important exception in clause 5.2 below.

​

5.2 Waiver of Right to Cancel Upon Accessing Digital Content.

​

For the purposes of this clause, 'accessed' means any action constituting engagement with

Course content, including: viewing any slide, playing any audio or video, downloading any

resource, or submitting any knowledge check or assessment response. Access is logged

automatically by the Platform and this log will be relied upon in any dispute.

​

5.3 Cancellation Where No Access Has Occurred.

​

If you have not accessed any Course content and wish to cancel within the 14-day coolingoff

period, you must notify ClimateEQ Ltd in writing at info@climate-eq.co.uk. A full refund

will be issued within 14 days of your cancellation request being confirmed. Where our

system records indicate that access has occurred, no refund will be due under this clause.

​

5.4 Cancellations Outside the 14-Day Period.

​

No refunds will be issued for cancellations made after the 14-day cooling-off period has

elapsed, regardless of whether the Course has been completed, the amount of content

accessed, or the reason for cancellation.

​

5.5 Exceptional Circumstances.

​

ClimateEQ Ltd may, entirely at its discretion, consider requests for partial credit (not cash

refunds) in genuinely exceptional circumstances such as serious medical incapacity. Such

requests must be submitted in writing with supporting documentation within the Access

Period. ClimateEQ Ltd's decision in such cases is final.

​

5.6 Corporate and Employer Purchases.

​

Where a Course has been purchased by an employer, the right to cancel rests with the

purchasing organisation, not the individual learner. The 14-day cooling-off period

commences on the date of purchase, subject to clause 5.2. Licence transfers to a different

employee within the same organisation may be permitted prior to first access, subject to

ClimateEQ Ltd's written approval and an administration fee of £25.

​

6. Assessment and Certification.

​

6.1 Assessment Requirements.

​

To be eligible for the ISEP Technical Associate Carbon Accountant Certificate, you must:

Complete all Course modules in full as recorded by the Platform;

Submit all required assessments and exercises within the Course;

Achieve the minimum passing mark in the final assessment as determined by ISEP's

accreditation standards.

Completion of modules is tracked by the Platform. You must not use automated tools,

screen recorders, or any other means to simulate engagement with content.

​

6.2 Assessment Attempts and Re-sits.

​

Unless otherwise stated at the time of enrolment, the Course fee includes 3 assessment

attempt(s). Where additional attempts are required:

A re-sit fee of £200 applies per additional attempt;

A minimum cooling-off period of 14 days must elapse between attempts;

Re-sit fees are non-refundable regardless of outcome;

Where a learner exhausts all permitted attempts without passing, they may re-enrol on the

Course at the standard fee. No refund of the original enrolment fee will be provided.

​

6.3 Academic Integrity.

​

All assessments must be completed solely by the registered learner. The following

constitute academic misconduct and may result in immediate disqualification, notification

to ISEP, revocation of any Certificate awarded, and permanent exclusion from future

ClimateEQ Ltd courses without refund:

Submitting work that is not your own;

Using artificial intelligence tools (including but not limited to large language models) to

generate assessment responses without prior written disclosure and approval;

Sharing assessment questions or answers with other learners;

Impersonating another learner or permitting another person to complete assessments on

your behalf;

Any other form of dishonesty in assessment.

ClimateEQ Ltd reserves the right to report instances of academic misconduct to ISEP. ISEP

may independently investigate and take action in accordance with its own professional

conduct framework, including revocation of accreditation-related benefits.

​

6.4 Certificate Issuance.

​

Upon ClimateEQ Ltd confirming that a learner has successfully completed all requirements,

ClimateEQ Ltd will notify ISEP, who will issue the Certificate in accordance with its own

processes. The Certificate is awarded by ISEP as the independent accrediting body;

ClimateEQ Ltd does not issue the Certificate and cannot guarantee the timeline or form of its

issue, as these are determined by ISEP.

​

The name on your Certificate will match the name provided at registration with ClimateEQ

Ltd. Requests to amend a Certificate after issuance must be directed to ISEP and may incur

an administration fee. Any amendments are subject to ISEP's verification processes.

​

6.5 ISEP's Role as Accrediting Body.

​

The Certificate is awarded by ISEP as the independent accrediting body. ISEP is not a party

to this agreement, and your contractual relationship regarding course access, fees, and

refunds is solely with ClimateEQ Ltd. However, matters relating specifically to certification

standards, certificate appeals, and the validity of the qualification are governed by ISEP's

own regulations, available at isepglobal.org.

​

ClimateEQ Ltd cannot be held responsible for any changes ISEP makes to its accreditation

framework, certification criteria, or recognition of the qualification. In the event that ISEP

withdraws accreditation of this Course, ClimateEQ Ltd will notify affected learners and use

reasonable endeavours to find an alternative pathway to certification, but cannot guarantee

a replacement qualification.

​

6.6 Certificate Validity and Currency.

​

Carbon accounting frameworks, emission factors, and regulatory requirements change

regularly. ClimateEQ Ltd will use reasonable endeavours to keep Course content current,

but does not guarantee that the Course will always reflect the most recent guidance.

Learners are advised to monitor updates from relevant bodies including DESNZ, the GHG

Protocol, and ISO. Responsibility for keeping professional knowledge current after

certification rests with the learner.

​

7. Continuing Professional Development (CPD).

​

The Course carries a minimum of 40 Guided Learning Hours as specified by ISEP's course

framework. ClimateEQ Ltd will provide a record of your completion date and module

progress for CPD logging purposes. However:

It is your responsibility to verify whether this Course meets the CPD requirements of any

professional body of which you are a member;

ClimateEQ Ltd makes no representation that the Course satisfies the CPD requirements of

any organisation beyond its recognition by ISEP;

CPD completion records are provided as a courtesy and do not constitute formal evidence of

competence for regulatory or legal purposes.

​

8. Intellectual Property.

​

8.1 Ownership.

​

All Content within the Course is the exclusive intellectual property of ClimateEQ Ltd or its

licensors. This includes module scripts and narration, AI-generated avatar content, slide

designs and graphics, video recordings, downloadable templates and checklists, case

studies, knowledge check questions, and the overall course structure and methodology.

ISEP's accreditation of the Course does not transfer any intellectual property rights to ISEP.

​

8.2 Permitted Use.

​

Your Course fee grants you a personal licence to access and use Course materials for your

own professional development only. You may:

Use downloadable templates (including the GHG Methodology Report Template and Quality

Checklist) for your own professional practice;

Refer to Course content in your own professional work;

Include the Certificate in your professional profile, CV, and LinkedIn profile.

​

8.3 Prohibited Use.

​

The following are strictly prohibited without ClimateEQ Ltd's prior written consent:

Recording, screenshotting, or capturing any Course content in any format;

Reproducing, republishing, or distributing any Content in whole or in part;

Using any Content for commercial purposes, including training delivery to third parties;

Creating derivative works based on Course Content;

Removing or altering any copyright notices or ClimateEQ Ltd or ISEP branding.

​

9. Acceptable Use of the Platform.

​

You agree not to use the Platform in any way that:

Is unlawful, harmful, fraudulent, or deceptive;

Infringes the intellectual property or other rights of ClimateEQ Ltd, ISEP, or any third party;

Introduces malicious software or attempts to gain unauthorised access to any part of the

Platform;

Attempts to extract or scrape Course Content by automated means;

Misrepresents your identity, your relationship with ClimateEQ Ltd or ISEP, or your

certification status (including claiming to hold the Certificate before it has been formally

awarded by ISEP).

​

ClimateEQ Ltd reserves the right to suspend or terminate access immediately and without

refund where these terms are breached.

​

10. Limitation of Liability.

​

10.1 Educational Content Only.

​

The Course provides education and training in carbon accounting. The Content does not

constitute and should not be relied upon as legal, regulatory, financial, or professional

advice. ClimateEQ Ltd accepts no liability for any loss, damage, penalty, or regulatory

consequence arising from the application of Course Content in a professional context.

​

10.2 ISEP's Independent Role.

​

ClimateEQ Ltd is not liable for any act, omission, or decision made by ISEP in its capacity as

accrediting body, including but not limited to changes to the qualification framework,

delays in Certificate issuance, or revocation of accreditation. Any claim relating to ISEP's

conduct as accrediting body must be directed to ISEP directly.

​

10.3 Limitation.

​

To the fullest extent permitted by law, ClimateEQ Ltd's total liability to you in connection

with the Course, whether in contract, tort (including negligence), or otherwise, shall not

exceed the total Course fee paid by you. ClimateEQ Ltd is not liable for any indirect,

consequential, or special loss; loss of profits, business, data, or professional opportunity; or

any loss arising from your reliance on Course Content in a professional context.

10.4 Consumer Rights.

​

Nothing in these Terms limits ClimateEQ Ltd's liability for death or personal injury caused

by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be

excluded under English law. Your statutory rights as a consumer are not affected by these

Terms.

​

11. Data Protection and Privacy.

​

ClimateEQ Ltd processes your personal data in accordance with its Privacy Policy (available

at [INSERT website]), which is incorporated into these Terms by reference. By enrolling,

you acknowledge that ClimateEQ Ltd will process the following categories of data:

Registration data (name, email address, employer, job title);

Payment data (processed by our payment provider; ClimateEQ Ltd does not store card

details);

Platform usage data (login times, module progress, time-on-task, completion status);

Assessment data (responses, scores, attempt history);

Communications data (support requests, emails).

​

ClimateEQ Ltd may share your name and completion data with ISEP for the sole purpose of

Certificate issuance, in accordance with ISEP's role as accrediting body. No other personal

data will be shared with ISEP without your consent.

​

Platform usage and assessment data constitute ClimateEQ Ltd's primary evidence in any

refund dispute or academic misconduct investigation. This data will be retained for a

minimum of 3 years following the end of your Access Period.

​

You have rights under UK GDPR including the right to access, correct, and request deletion

of your personal data. Full details are set out in our Privacy Policy. ClimateEQ Ltd is

registered with the Information Commissioner's Office ICO Registration No: ZC010781

​

12. Equality, Accessibility and Learner Support.

​

12.1 Accessibility.

​

ClimateEQ Ltd is committed to making the Course accessible to all learners. The Course

includes subtitles on all narrated content and embedded videos. If you require additional

accessibility support or reasonable adjustments to the learning experience or assessment

process, please contact us at info@climate-eq.co.uk before commencing the Course.

ClimateEQ Ltd will use reasonable endeavours to accommodate requests; where

adjustments affect assessment conditions, these will be agreed with ISEP in advance.

​

12.2 Equality.

​

ClimateEQ Ltd does not discriminate on grounds of age, disability, gender reassignment,

marriage and civil partnership, pregnancy and maternity, race, religion or belief, sex, or

sexual orientation in the provision of its courses, in accordance with the Equality Act 2010.

​

12.3 Learner Support.

​

Learner support is available by email at info@climate-eq.co.uk. We aim to respond to all

support queries within 2 working days. Support covers technical platform issues, queries

about course content, and assessment administration. One-to-one tutoring or bespoke

professional advice is not included in the standard course fee.

​

12.4 Wellbeing.

​

ClimateEQ Ltd recognises that professional assessments can be a source of stress. If you are

experiencing difficulties that are affecting your ability to engage with the Course, please

contact us at info@climate-eq.co.uk If you are experiencing a mental health crisis, please

contact your GP, a mental health helpline, or the Samaritans (116 123).

​

13. Complaints Procedure.

​

ClimateEQ Ltd is committed to resolving complaints fairly and promptly. All complaints

about the Course, Platform, or ClimateEQ Ltd's service should be directed to ClimateEQ Ltd

in the first instance:

​

Stage 1 - ClimateEQ Ltd: Contact us in writing at info@climate-eq.co.uk . We will

acknowledge your complaint within 5 working days and aim to provide a full response

within 15 working days.

​

Stage 2 - Escalation within ClimateEQ Ltd: If you are not satisfied with our Stage 1 response,

you may request escalation to a senior member of staff. Details will be provided in our Stage

1 response.

​

Stage 3 - ISEP (Certification matters only): Where a complaint relates specifically to the

validity of the qualification, the accreditation standards applied, or ISEP's certification

decisions, ISEP's formal appeals procedure applies (available at isepglobal.org). ISEP's role

in complaints is limited to its function as accrediting body and does not extend to ClimateEQ

Ltd's commercial decisions regarding fees, refunds, or access.

​

ClimateEQ Ltd does not currently subscribe to an alternative dispute resolution (ADR)

scheme for online course disputes, but is committed to resolving complaints amicably

wherever possible.

​

14. Changes to the Course and These Terms.

​

14.1 Changes to Course Content.

​

ClimateEQ Ltd reserves the right to update, amend, or withdraw Course Content at any time,

including in response to changes to ISEP's accreditation requirements or updates to

underlying frameworks such as GHG Protocol or DESNZ conversion factors. We will use

reasonable endeavours to notify learners of material changes. Where a change significantly

diminishes the value of the Course, ClimateEQ Ltd may offer an extended Access Period or

alternative remedy at its discretion.

​

14.2 Changes to These Terms.

​

ClimateEQ Ltd may update these Terms from time to time. Updated Terms will be posted on

our website with a revised effective date. Existing learners will be notified by email and

given 30 days' notice before new Terms take effect. The Terms in force at the time of your

enrolment will govern any disputes relating to that enrolment.

​

14.3 Force Majeure.

​

ClimateEQ Ltd will not be liable for any failure or delay in performing its obligations where

such failure results from events beyond our reasonable control, including platform provider

failure, cyber-attack, pandemic, regulatory intervention, or ISEP withdrawing accreditation

of the Course. In such circumstances, ClimateEQ Ltd will endeavour to provide a full refund

or credit where the Course cannot be delivered.

​

14.4 Termination by ClimateEQ Ltd.

​

ClimateEQ Ltd may terminate your access immediately and without refund where you have

breached these Terms, including cases of academic misconduct, sharing of login credentials,

or prohibited use of Content.

​

15. Corporate and Employer Purchases.

​

Where an employer or organisation purchases Course access on behalf of learners:

The purchasing organisation accepts responsibility for ensuring learners are aware of and

comply with these Terms;

​

The right to cancel rests with the purchasing organisation, not the individual learner,

subject to clause 5.2;

​

Licence transfers to a different employee are subject to ClimateEQ Ltd's written approval

and an administration fee, provided no access has occurred on the original licence;

Where a learner leaves employment during their Access Period, the licence cannot be

transferred without ClimateEQ Ltd's prior written approval. No refund will be provided in

these circumstances;

​

Bulk purchase discounts and corporate pricing arrangements are subject to a separate

written agreement with ClimateEQ Ltd and do not override these Terms unless expressly

stated in that agreement.

​

16. Governing Law and Jurisdiction.

​

These Terms and Conditions are governed by the laws of England and Wales. Any dispute

arising from or in connection with these Terms shall be subject to the exclusive jurisdiction

of the courts of England and Wales, except that consumers retain the right to bring

proceedings in the courts of their country of residence where required by applicable law.

​

17. General Provisions.

​

Entire Agreement: These Terms, together with the Privacy Policy and any terms presented

at checkout, constitute the entire agreement between you and ClimateEQ Ltd in relation to

the Course and supersede all prior representations or understandings.

​

Severability: If any provision of these Terms is found to be invalid or unenforceable, the

remaining provisions shall continue in full force and effect.

​

Waiver: ClimateEQ Ltd's failure to enforce any provision of these Terms shall not constitute

a waiver of its right to enforce that provision in the future.

​

Third Party Rights: These Terms do not confer any rights on any third party (including

ISEP) under the Contracts (Rights of Third Parties) Act 1999, except where expressly stated.

Language: These Terms are written in English. In the event of any translation, the English

version shall prevail.
